General Terms and Conditions
1. General
1.1 Al Badr Kunafa AB, company registration number 559114-9116, operating under the brand name BADR (“BADR”), sells chocolate products, pastries and related food products online through its website www.badr.se (the “Online Store”) to both consumers and businesses (“Buyer” or “Customer”). A consumer is defined as a natural person who purchases mainly for purposes outside business activity.
1.2 These general terms and conditions apply to all orders placed in the Online Store and to all agreements between you and Al Badr Kunafa AB regarding the sale of products to you through BADR’s Online Store (the “Agreement”). Before completing an order, you will be asked to accept these general terms and conditions. Please read them carefully and make sure you understand their meaning before ordering any products from the Online Store. If you do not accept the general terms and conditions before placing your order, you will not be able to order products from the Online Store.
1.3 These general terms and conditions apply as written at any given time and may be changed without prior notice to you as Buyer/Customer. It is your responsibility as Buyer to stay updated on the latest version of these terms. The version of the terms in force at the time of your order applies to the Agreement. These general terms and conditions were last updated on 2025-06-11. Where these general terms and conditions differ depending on whether you purchase as a consumer or as a business, this is specifically stated.
1.4 By accepting these general terms and conditions, you confirm that you are 18 years of age or older and have the legal capacity to enter into agreements. If you are not a consumer, you confirm by accepting these general terms and conditions that you are authorized to enter into agreements on behalf of the company/association for which you purchase products in the Online Store.
1.5 If one or more provisions of these general terms and conditions are or become invalid or impossible to fully or partly enforce, this shall not affect the validity of the remaining provisions.
1.6 This section applies only to businesses. Al Badr Kunafa AB provides its deliveries, services and offers, and enters into agreements exclusively on the basis of these general terms and conditions. These general terms and conditions apply to all future agreements between you and Al Badr Kunafa AB, even if they have not been expressly accepted by you again. These general terms and conditions, together with all documents expressly referred to in them, constitute the entire agreement between you and Al Badr Kunafa AB and replace and invalidate all previous agreements, promises, assurances, warranties, representations and understandings between you and Al Badr Kunafa AB, whether written or oral. By entering into a purchase agreement with Al Badr Kunafa AB, you confirm that you cannot rely on any statement, representation, assurance or warranty, whether given negligently or otherwise, that is not stated in these general terms and conditions or in any document referred to in them.
1.7 The conclusion of the Agreement will be documented and stored at our premises. The Agreement will not be available to you at our premises.
2. Conclusion of Agreement
2.1 The Agreement is concluded in Swedish.
2.2 The presentation of products in BADR’s Online Store does not constitute a binding offer by Al Badr Kunafa AB to complete a purchase agreement.
2.3 After placing products in the “shopping cart”, you can review them and, if necessary, correct your entire order. Your offer to purchase is made only after you click “order with obligation to pay” or a similar button.
2.4 After placing an order in the Online Store, in addition to receiving a receipt for your order, you will receive an automatically generated email in which Al Badr Kunafa AB confirms that the order has been received. This receipt confirmation does not constitute acceptance of your offer to purchase. Al Badr Kunafa AB’s receipt confirmation also does not mean that a purchase agreement has been concluded between you and Al Badr Kunafa AB.
2.5 After placing an order in the Online Store, you will also receive a purchase confirmation by email, with information about the products you purchased and the price. The price stated in the order confirmation applies to your purchase.
2.6 A purchase agreement is concluded only when Al Badr Kunafa AB expressly accepts the offer to purchase, or when Al Badr Kunafa AB sends the products to you without first providing such express acceptance.
2.7 The minimum order value for delivery of products is SEK 50 per order.
2.8 If Al Badr Kunafa AB is unable to supply you with a product, for example because the product is out of stock or no longer available, because Al Badr Kunafa AB cannot deliver the product by the requested delivery date, because a product has been incorrectly priced, or because the permitted limit for the number of products per customer has been exceeded in an order, Al Badr Kunafa AB will inform you by email and your order will not be processed. If you have already paid for the products, Al Badr Kunafa AB will refund the full cost of your order, including delivery charges, as soon as possible.
3. Price and Delivery Charges
3.1 The prices shown on the product pages in the Online Store include VAT. Delivery charges are shown at checkout.
3.2 Although Al Badr Kunafa AB intends to always provide correct information on the website, there is a possibility that products in the Online Store may be incorrectly priced. If a product has been incorrectly priced, Al Badr Kunafa AB disclaims responsibility for delivering the product at the incorrect price or at all. In such case, Al Badr Kunafa AB will either cancel the order and refund the price you paid, or contact you and ask whether you wish to complete the order at the correct price. If Al Badr Kunafa AB is unable to contact you, or if you do not wish to complete the order at the correct price, Al Badr Kunafa AB will cancel your order and refund the price you paid.
4. Payment Terms
4.1 Payment can be made by:
Credit card, including MasterCard and Visa;
Debit card, including Debit MasterCard, Visa Debit, Maestro and Visa Electron;
Klarna;
QLIRO;
Swish.
4.2 When you pay by credit or debit card, the order amount will be charged to your card when you complete your order.
4.3 This section applies only to consumers. If you have chosen to pay by invoice and have not paid the invoice by the due date, Al Badr Kunafa AB will charge a reminder fee of SEK 60, as well as an invoicing fee of SEK 45 for paper invoices.
If you have not paid for your purchase by the due date, Al Badr Kunafa AB may also claim compensation from you in the form of late-payment interest of 8% of the overdue amount per calendar year. This interest accrues daily from the due date until the day the overdue debt is paid in full. The interest must be paid together with the overdue amount.
4.4 This section applies only to businesses. If you have not paid for your purchase by the due date, Al Badr Kunafa AB may claim compensation from you in the form of late-payment interest of 8% of the overdue amount per calendar year. This interest accrues daily from the due date until the day the overdue debt is paid in full. The interest must be paid together with the overdue amount.
5. Delivery and Delivery Time
5.1 The products are delivered to the address you provided in your order, unless otherwise agreed between you and Al Badr Kunafa AB.
5.2 Delivery is available within Sweden.
5.3 Once the product has been delivered to you, the risk passes to you and you are responsible for keeping it safe.
5.4 Ordered products are delivered subject to availability. If a product is not available at the time of order, you will be informed of the expected delivery time. As soon as the product is available, it will be sent to you.
5.5 For deliveries within Sweden, the estimated delivery time is 3–5 working days, excluding Sundays and public holidays, from the time the order confirmation is sent. For customized/specially manufactured products, the delivery time is 10–14 working days. Please see BADR’s delivery terms at www.badr.se for further information.
5.6 If there is a risk that high outdoor temperatures may affect the quality of the products, which may occur at 23 degrees Celsius or higher, Al Badr Kunafa AB will inform you of potential delays or temporary interruptions in delivery when you place your order. By placing your order, you accept that Al Badr Kunafa AB will send the products to you only once the temperature has dropped to a level where the quality of the products is no longer at risk. In such case, the delivery times stated above in section 5.5 do not apply. Al Badr Kunafa AB will inform you directly when the products can be sent again.
5.7 If an event occurs that is outside Al Badr Kunafa AB’s reasonable control, known as “force majeure”, this may mean that Al Badr Kunafa AB is unable to complete delivery within the time frame stated above in section 5.5, or at all. In such case, Al Badr Kunafa AB is not responsible for delayed or cancelled deliveries if the delay or inability to deliver the products is wholly or partly due to such an event. Al Badr Kunafa AB is also not responsible for any subcontractor’s delayed or cancelled deliveries if the subcontractor’s inability to deliver in accordance with the agreement is wholly or partly due to such an event. Such events may include, but are not limited to: accidents, extreme weather, fire, explosions, floods, earthquakes, natural disasters, telecommunications network failures, inability to use transport networks, terrorist attacks, war, civil unrest, riots, strikes, lockouts and other industrial disputes, government decisions and restrictions on imports or exports.
6. Transport
6.1 Al Badr Kunafa AB bears the risk for the products during transport until the products have been delivered to the customer. If any product delivered to you has clearly been damaged during transport, please inform the carrier immediately and contact Al Badr Kunafa AB as soon as possible.
6.2 Your statutory rights are not affected by your failure to notify the carrier or contact Al Badr Kunafa AB in accordance with section 6.1 above. However, you are expected, to a reasonable extent, to assist Al Badr Kunafa AB with any potential claims against the carrier and/or relevant insurance company.
7. Retention of Title
7.1 This section applies only to consumers. Al Badr Kunafa AB retains ownership of the products until they have been paid for in full.
7.2 This section applies only to businesses.
Al Badr Kunafa AB retains ownership of the products until all claims that Al Badr Kunafa AB has against the business customer, arising from the current business relationship, have been paid in full. The business customer is not permitted to pledge the products or otherwise use them as security for any claim before ownership has passed from Al Badr Kunafa AB to the business customer.
Al Badr Kunafa AB undertakes, at the business customer’s request, to release Al Badr Kunafa AB’s securities to the business customer to the extent that the market value of Al Badr Kunafa AB’s securities exceeds Al Badr Kunafa AB’s claims against the business customer by more than 10%. In such case, Al Badr Kunafa AB is free to decide which securities shall be released.
8. Set-Off / Right of Retention
This section does not apply if you are a consumer.
8.1 A right to set off a claim exists only if the counterclaim has been established by a court and the judgment has become final, or if the counterclaim has not been disputed by Al Badr Kunafa AB.
8.2 To exercise a right of retention, the counterclaim in question must arise from the same contractual relationship as Al Badr Kunafa AB’s claim against the business customer under the Agreement.
9. Right of Withdrawal
9.1 As a consumer, under the Swedish Distance and Off-Premises Contracts Act, SFS 2005:59, you have the right to withdraw from the purchase agreement within 14 days from the day you received the product. This right means that a consumer has the right, within 14 days of purchase, to cancel the purchase without giving any reason and receive a refund. However, under the Distance and Off-Premises Contracts Act, this right of withdrawal does not apply to goods which, due to their nature, cannot be returned or may quickly deteriorate, such as food. The right of withdrawal also does not apply to products which have been sealed for health or hygiene reasons and where the seal has been broken by the consumer, or to goods that have been specially manufactured according to the consumer’s wishes or otherwise have a clear personal character.
9.2 The products supplied by Al Badr Kunafa AB under this Agreement consist of various chocolate and pastry products. Since chocolate and pastries are perishable goods that may quickly deteriorate, the right of withdrawal under the Distance and Off-Premises Contracts Act does not apply. Nor do you have a right of withdrawal for products that are sealed and where the seal has been broken by you, or for products that have been specially manufactured for you and therefore have a clear personal character.
9.3 Notwithstanding what is stated above in section 9.2, you have the right to withdraw from the Agreement if this right follows from the Agreement, these general terms and conditions, or, particularly if you are a consumer, mandatory legislation. If you wish to withdraw from the Agreement on any of these grounds, you are welcome to use the attached withdrawal form, but this is not necessary in order to register a return.
10. Right to Complain, Warranties
10.1 This section, together with sections 10.2–10.5, applies only to consumers. As a consumer, you have a statutory right to receive goods that are free from defects. A product is defective if, for example, it is damaged or does not correspond to what was agreed. This statutory right is not affected by the right of withdrawal described in section 9 or by anything else stated in these general terms and conditions.
10.2 Under applicable consumer legislation, you have the right to complain about defects for 3 years from the date you received the product. To claim a defect in an ordered product, you must contact Al Badr Kunafa AB as soon as possible, but no later than within 2 months from when you discovered or should have discovered the defect. If you do not notify Al Badr Kunafa AB of the defect within this time limit, the right to complain is lost. Complaints are made to info@badr.se. In the event of a defect in a product, Al Badr Kunafa AB shall first be given the opportunity to remedy the defect, for example by sending you a replacement product free of charge.
10.3 Al Badr Kunafa AB’s liability for a defective product is limited to the product’s price as stated in the Online Store, including delivery charges and other related fees, as well as any return cost, provided that the defect has not caused the consumer damage and the damage is due to Al Badr Kunafa AB’s negligence.
10.4 Al Badr Kunafa AB reserves the right to reject a complaint if it turns out that the product is not considered defective under applicable consumer protection legislation.
10.5 Advice about your rights as a consumer is available from, among others, the Swedish Consumer Agency. Your statutory consumer rights are not affected by these general terms and conditions. The Swedish Consumer Agency’s website is https://www.konsumentverket.se/.
10.6 This section applies only to businesses. To customers who are not consumers, Al Badr Kunafa AB offers a 6-month warranty from the date the products are shipped, confirming that the products shall be of satisfactory quality and free from material defects. The warranty is offered subject to the following conditions:
After delivery, you must immediately inspect the products and inform Al Badr Kunafa AB of any obvious or visible defects within 7 days from the date you received the order receipt. If the defect is hidden, you must inform Al Badr Kunafa AB of it within 7 days from the date you discovered or should have discovered the defect. If you do not notify Al Badr Kunafa AB of the defect within the stated time limits, you are deemed to have accepted the defective products.
If you notify Al Badr Kunafa AB of a defective product within the given time limits, Al Badr Kunafa AB will choose whether to remedy the defect, replace the defective products, or refund the full price of the defective products. After Al Badr Kunafa AB has taken such action, Al Badr Kunafa AB shall no longer have any liability for damages or other liability towards you regarding the defective products.
The warranty offered under this section does not apply to defective products if the defect results from: normal wear and tear; intentional damage by the business customer; abnormal storage or working conditions; accident; negligence by you or a third party; your failure to use or handle the products in accordance with their instructions; or any alteration or repair of the products carried out by you or a third party who is not one of Al Badr Kunafa AB’s authorized repairers.
11. Liability if You Are a Business
11.1 This section applies only to businesses. BADR’s products are intended to be used internally within your company. By accepting these general terms and conditions, you confirm that you will not use the products for resale purposes.
11.2 Al Badr Kunafa AB has no liability towards you for delays or inability to deliver in accordance with the Agreement, or for any damage or defect in products delivered under any Agreement, in cases stated above in section 5.7, force majeure.
11.3 Nothing in these general terms and conditions limits or excludes Al Badr Kunafa AB’s liability for:
death or personal injury caused by Al Badr Kunafa AB’s gross negligence;
fraud or fraudulent misrepresentation.
11.4 Subject to section 11.2, Al Badr Kunafa AB is under no circumstances liable towards you, whether contractually, non-contractually, including negligence, due to breach of statutory duty or otherwise, arising under or in connection with the contract, for:
loss of profit, sales, business, income or return;
loss of savings;
business interruption;
loss of production;
loss caused by delay or delayed performance;
loss of business opportunity;
loss of expected savings;
loss of goodwill; or
any form of direct or indirect loss.
12. Liability if You Are a Consumer
12.1 This section applies only if you are a consumer. If you act as a consumer when ordering or purchasing products in the Online Store, Al Badr Kunafa AB is not liable towards you, to the extent that Al Badr Kunafa AB’s liability is not governed by mandatory law, for:
loss that is not foreseeable, where loss is foreseeable if it was an obvious consequence of Al Badr Kunafa AB’s breach of contract or if the loss was contemplated by you and Al Badr Kunafa AB at the time the Agreement was concluded;
loss arising without Al Badr Kunafa AB having breached the Agreement; and
business loss, including loss of revenue, business, contracts, goodwill, business opportunities and other similar losses.
12.2 Nothing in these general terms and conditions limits or excludes Al Badr Kunafa AB’s liability for:
death or personal injury caused by Al Badr Kunafa AB’s gross negligence;
fraud or fraudulent misrepresentation.
12.3 As a consumer, you may have specific statutory rights regarding claims based on Al Badr Kunafa AB’s negligence or failure to perform in accordance with the Agreement. Nothing in these general terms and conditions is intended to limit your statutory rights. For further information about your rights as a consumer, you may contact the Swedish Consumer Agency, see the link to its website in section 10.5.
13. Applicable Law and Disputes
13.1 Swedish law applies to the Agreement and to disputes concerning the interpretation or application of the Agreement, as well as to non-contractual and other claims between you and Al Badr Kunafa AB. Disputes shall primarily be resolved by agreement between you and Al Badr Kunafa AB. If the dispute cannot be resolved by agreement between you and Al Badr Kunafa AB, as a consumer you have the option of having your case reviewed free of charge by the Swedish National Board for Consumer Disputes, ARN, Box 174, 101 23 Stockholm. Al Badr Kunafa AB follows ARN’s recommendations. Otherwise, disputes or claims arising from the Agreement, whether contractual or non-contractual, shall be settled by the general courts of Sweden.
14. Other Terms
14.1 You may assign or transfer your rights or obligations under any Agreement only if you and Al Badr Kunafa AB have first agreed to this in writing.
14.2 No party other than Al Badr Kunafa AB and the Buyer shall have the right to enforce the Agreement.
14.3 The fact that Al Badr Kunafa AB does not require you to perform any of your obligations under the Agreement, or that Al Badr Kunafa AB does not exercise its rights against you or delays doing so, does not mean that Al Badr Kunafa AB has waived its rights against you. Nor does it mean that you no longer need to fulfil those obligations. If Al Badr Kunafa AB waives any right it has against you, Al Badr Kunafa AB will do so in writing, and such waiver does not mean that Al Badr Kunafa AB has automatically waived any future right against you.
14.4 Before purchasing a product from BADR, we ask you to carefully read the ingredients list for each product you wish to purchase on the Online Store’s nutritional information page, especially if you have food allergies or intolerances, for example to nuts or milk. For complete product information, manufacturing date and/or best-before date, please refer to the information on the product packaging.
14.5 Al Badr Kunafa AB reserves the right to correct errors in the content of the Online Store’s website.
14.6 In addition to what is stated in these general terms and conditions, Al Badr Kunafa AB’s privacy policy in force from time to time shall also apply to the use of the website www.badr.se.
